Description

This course will emphasize contract drafting and negotiating issues in the context of U.S. companies and counsel dealing with Latin American counterparts. Various typical transactions will be examined, including company acquisitions; joint venture agreements; sales, agency, distributorship, licensing, and franchising agreements; international loan agreements; bond issues; and project financing. These transactions will be studied together with common forms of guarantees and assurances, such as standby letters of credit, first demand bonds, traditional bank guarantees, bid and performance bonds, comfort letters, and escrow agreements.
